Melt caramels in water in saucepan over low heat, stirring frequently until smooth. Pour over cereal and nuts, toss until well coated. WIth greased fingers, press into greased 9x13. Sprinkle chips on top. Place in 200 degree oven for 5 minutes. Spread softened chips until blended to form frosting. Cool and cut into bars.
