Heat caramels and water over low heat or microwave on high until melted. Mix next six ingredients. Reserve 1 cup for topping and press the rest into a 13x9 pan.
Bake 10 minutes at 350 degrees and then sprinkle with chocolate chips. Drizzle with caramel mixture and reserved crumb topping. Bake 15 min longer until light brown. Cool and cut into bars.
