PREPARE brownie batter and bake in 13x9-inch pan as directed on package, removing from oven at lowest suggested baking time. Cool completely in pan.

MEANWHILE, pour milk into medium bowl. Add dry pudding mix. Beat with wire whisk 2 min. or until well blended. Add peanut butter and sugar; mix well. Cover and refrigerate until brownies are completely cooled.

SPREAD pudding mixture over brownies in pan. Microwave frozen whipped topping and chocolate squares in microwaveable bowl on HIGH 40 sec.; stir. Microwave an additional 20 sec. or until chocolate is melted and mixture is well blended when stirred. Spread over pudding layer; sprinkle with peanuts. Refrigerate 1 hour or until chilled. Store leftovers in refrigerator.
