Preheat oven to 350 degrees (325 degrees for glass). Combine cake mix, eggs, and 1/3 cup melted butter. With floured hands, press two-thirds of the mixture into a greased 9 x 13 pan.
In microwave safe bowl, combine milk, chips, and remaining butter. Microwave uncovered for 45 seconds. Stir. Continue microwaving in 30 second intervals until mixture is smooth. Mix well. Pour over crust.
With floured hands, press remaining cake mixture into flat pieces and place on top of chocolate mix (chocolate will not be completely covered). Bake at 350 deg for 20 - 25 minute or until lightly browned. Cool completely before cutting.
