Melt first 3 ingredients in double broiler. If no double broiler, then on low heat.
Combine other ingredients. Press 3/4 of mixture in a 9x13 pan. Bake at 350 degrees for 8-10 minutes. Pour caramel mix on top. Sprinkle chocolate chips over caramel. Crumble remaining mixture on top. Bake 10 more minutes. Cool.
