Melt caramels in evaporated milk, cool. Combine remaining ingredients, except choco chips in large bowl. Press 1/2 of crumbs into a 9x13 greased pan. Bake @ 350 degrees for 10 minutes. Sprinkle w/choco chips. Spread caramel mixture over chips. Sprinkle w/remaining crumbs. Bake 15-20 minutes at 350 degrees.
