Mix first amount of butter, sugar, eggs, flour and cocoa. Bake in 9x13 pan for 30 minutes at 350F.
Sprinkle top with marshmallows. Return to oven for 5 minutes. Cool for 3o minutes.
To make icing bring second amount of butter, cocoa and milk to a boil. Beat icing sugar and vanilla with cocoa mixture for icing. Spread icing over marshmallows. Cool and serve.
